Arthur Cox advises Digital 9 Infrastructure on €76m deal to acquire eir’s majority stake in Tetra Ireland

Arthur Cox LLP is advising Digital 9 Infrastructure plc on its agreement to acquire eir’s majority stake in Tetra Ireland for €76 million.

The transaction will see Digital 9 Infrastructure plc, managed by Triple Point Investment Management, acquire a 56 per cent stake in Tetra Ireland, the exclusive operator of public safety wireless networks across Ireland.

The agreement is contingent on a pre-emption clause giving the right of first refusal to the other shareholders, who now have two weeks to decide whether to agree to the sale.

The Arthur Cox team is led by corporate partner Connor Manning and includes corporate and M&A lawyers Ruth Donnellan and Emma O’Keeffe, infrastructure, construction and utilities lawyers Aaron Boyle and Olivia Abell, tax lawyers Fintan Clancy and Cristina Susanu, construction and regulated markets lawyers Patrick Horan and Edel O’Connell, and employment lawyers Cian Beecher and Ciara McDermott.

Ronan Daly Jermyn advises BioPharma Engineering on acquisition by Unispace

Ronan Daly Jermyn (RDJ) has advised Irish life sciences company BioPharma Engineering on its acquisition by Unispace, a global workplace strategy, design and construction firm.

BioPharma Engineering will become known as BPE and a Unispace Global Life Sciences Centre of Excellence will be established in Ireland to deliver and grow the global life sciences business.

The deal will allow BioPharma to expand its business in key markets across North America, Europe, Asia, Australia and New Zealand.

Founded in 2006, Cork-based BioPharma designs and delivers laboratory, research and manufacturing facility space for global pharmaceutical and life sciences companies. It has about 100 employees based at its Cork and Dublin offices.

The RDJ transaction team included Gillian Keating and Maria Walsh in the firm’s corporate and commercial department, Jennifer Cashman in employment, and Eoin Tobin and Mark Ludlow in tax.

McCann FitzGerald advises PEAL Capital Partners on establishment of new ILP

McCann FitzGerald LLP has acted for PEAL Capital Partners on its establishment of a new investment limited partnership (ILP).

PEAL Capital Partners ILP has been authorised by the Central Bank under the new Irish ILP regime.

The fund will pursue private equity investments in traditional industries such as industrials, business services, consumers services and niche areas of financial services across parts of Western Europe, the UK and North America.

The McCann FitzGerald LLP team was led by Mark White and included Saibh Hurley, Ben Gaffikin, Elizabeth Maye and Eleanor MacDonagh.

Beauchamps advises Grafton Group on acquisition of Sitetech Building Products

Beauchamps has advised Grafton Group plc on its acquisition of building materials firm Sitetech Building Products.

Irish headquartered Grafton Group plc is one of the UK and Ireland’s largest manufacturer and retailer of building supplies and is traded on the London Stock Exchange.

The Beauchamps team was led by Shaun O’Shea and supported by Paul Gough, John White, Anne Doyle, Gergana Moran, and Emily Harrington.

Philip Lee advises Wrkit on acquisition by Benefex

Philip Lee has advised Irish company Wrkit on its sale to British employee benefits software company Benefex.

Benefex, part of the Bain Capital-backed Zellis Group, is a provider of human resources, payroll software and related outsourcing services in Britain.

Wrkit has experienced significant growth in the UK and abroad over the last few years and now supports more than 500,000 employees across 300 organisations. The Wrkit teams in Ireland, the UK and Australia will join Benefex following the sale.

The combined Benefex and Wrkit offering will create the opportunity for new tools to serve customers with employee discounts in addition to wellbeing, fitness and learning products.

Corporate partner Andreas McConnell and senior associate Anna Hickey led the Philip Lee team advising Wrkit on the transaction.
